Abbreviated Terms of the Sale

 

The following items are the basic and abbreviate terms of the sale.

 

  • Business is for sale for the amount of $195,000.00.  The seller will offer to finance 20% of the sale price for one year from the date of sale.  The buyer is expected to assume full responsibility for the remaining 80% of the sale amount using their own funds or funds from a lender.  No terms affecting the seller will be attached to the funds representing 80% of the sale price.  This 80% will be due in total at the date of closing on the sale of the business.  The remaining 20% of the sale price will be payable in full no later than 12 months and 30 days after the initial sales date. 

  • The seller will remain with the business as a Consultant for not more than 1 year after the sale is complete.  In this capacity the seller will continue to train and mentor the buyer(s). 

  • For the first two months after the sale, the seller will not be paid for his services up to 40 hours per 7 day week.  After 40 hours per 7 day week the seller will be paid $45.00/hour, plus $.50/mile for any services he provides to the business/buyer.  Travel time will be included in the hourly computation at the appropriate hourly rate.

  • After the first two months from date of sale of the business, the seller will provide up to 20 hours per 7 day week at $45.00/hour.  After the first 20 hours the seller will be paid $55.00/hour.  In all cases the seller will be reimbursed $.50/mile.  Travel time will be included in the hourly computation at the appropriate rate.

  • Should the buyer fail to completely pay for the sale/purchase of the busines and payments for services provided by the seller within 12 months and 30 days of the initial sales date, this will result in full and complete loss of ownership of the business for any and all buyer(s) and ownership of the business will return to the seller and all funds provided by the buyer(s) will be forfeited to the seller.

  • Should the buyer fail to completely pay for the sale of the business and hourly payments for services provided by the seller within 12 months and 30 days of the initial sales date, the buyer(s) will incur an additional daily rate charge of one tenth of one percent (.001) of the balance of funds not paid, accumulation beginning 12 months and 30 days from the initial sales date. 

  • Should the buyer fail to completely pay full purchase price/fees for the business and hourly payments for services provided by the seller within 12 months and 30 days of the initial sales date, buyer agrees to pay all collection costs, court costs, and reasonable attorney costs that the seller pays to collect/recover these fees and/or to return ownership of the business to the seller.

  • Other terms may apply at the time of the sale.
